Parties
These terms govern the relationship between Matteo Balocco — P.IVA IT02501190025 — (hereinafter “Sitenest”) and the client (any natural or legal person purchasing a service).
Services
Sitenest offers:
- WordPress maintenance plans: monthly or annual subscription, governed by the selected plan tier.
- Website creation: project-based services, governed by an individual written quote.
- Audit services: one-time deliverables (UX, SEO, Performance audit, emergency support, technical hours).
The exact scope of each service is described on the website and, for custom projects, in the individual quote sent before work begins.
Ordering and Contract Formation
A contract is formed when the client accepts a quote in writing (by email or digital signature) and pays the required deposit or first instalment. For maintenance plans ordered directly from the website, the contract is formed upon payment confirmation.
Prices and Payments
All prices are VAT exclusive. For Italian private individuals, 22% VAT is added. For EU B2B clients with a valid VAT ID, reverse charge applies.
Payment methods accepted: credit/debit card (Stripe), Satispay, PayPal. Bank transfer for annual plans ≥ €1,000 (2% discount).
Invoices are issued electronically via the Italian SDI system.
Maintenance Plans
Duration: monthly or annual, automatically renewed unless cancelled.
Cancellation: monthly plans require 15 days’ notice. Annual plans are cancelled at the end of the paid period — no refund on remaining months.
Upgrade/downgrade: upgrades take effect immediately with pro-rated billing. Downgrades take effect at the end of the current period.
Money-back guarantee: 30-day money-back guarantee on the first 30 days of a maintenance plan. If unsatisfied within 30 days, the first payment is fully refunded (excluding any one-time setup fee if already delivered).
Scope Limitations
Services include only what is explicitly described in the plan or quote. Unless otherwise agreed in writing, the following are excluded:
- Development of new custom features beyond included edit hours.
- Site migration from another host (quoted separately).
- Recovery from incidents that occurred before the plan was activated.
- Commercial plugin/theme licence costs.
- Hosting costs.
- Marketing services (ads, social media, copywriting).
Client Responsibilities
The client must: provide timely access to the site and hosting environment; respond to requests for information or approval within reasonable timeframes; provide accurate information about pre-existing issues. Delays caused by the client do not affect billing.
Limitation of Liability
Sitenest commits to providing services with professional diligence. However, we are not liable for damages arising from: third-party actions (hacking, server failures outside our control), decisions made by the client against our recommendation, or force majeure events. Our maximum liability is limited to the total amount paid in the 3 months preceding the incident.
Intellectual Property
On completion and full payment, the client receives ownership of the website’s design and custom code. WordPress (GPL), commercial plugins and themes are subject to their respective licences.
Confidentiality
Both parties agree to keep confidential any sensitive information received in the course of the service relationship.
Applicable Law and Jurisdiction
These terms are governed by Italian law. Any disputes shall be subject to the exclusive jurisdiction of the court of the data controller’s registered location, without prejudice to the client’s right to bring proceedings before the court of their place of residence.
Changes
Sitenest may update these terms. Existing clients will be notified of material changes by email at least 30 days before they take effect.
